Acting on the development, leasing and renewal of Samsung's corporate headquarters at Sydney Olympic Park and advising in relation to Samsung's commercial and retail leasing throughout Australia.

adidas

Advise on adidas' retail leasing portfolio throughout Australia. We also reviewed and negotiated the Lease and associated documentation in relation to adidas' corporate headquarters in Mulgrave, Victoria.

Jeanswest

Advised the voluntary administrators and subsequent liquidators of national retailer Jeanswest on trading during administration, supplier and lessor negotiations and the ultimate sale of the business.

Spotless Group

Advised Spotless on its approximately A$720 million acquisition by Pacific Equity Partners, a private equity sponsor, a transaction which attracted significant public comment and where significant pressure was placed on the Board of the target company.

Healthia

Legal adviser for Healthia in its acquisition by Pacific Equity Partners via scheme of arrangement, and previously advised on its aggregation acquisitions, secondary raisings and IPO on ASX and acquisition of over 100 allied health businesses, including physiotherapists, podiatrists and optometrists.

Marley Spoon

Advised Marley Spoon SE on a series of strategic transactions supporting the growth of its consumer food distribution platform, including its 2023 business combination with German-listed SPAC 468 SPAC II SE and associated A$157 million capital raise and international listing transition.

Minerva Foods

Advised Minerva Foods on its acquisition of an Australian and New Zealand boxed beef distribution company.

PENDING Myer

Advise Myer in relation to its network of leased stores throughout Australia, particularly in relation to complex Agreement for Lease and Lease arrangements.

Collins Foods

Legal adviser on the acquisition of more than 80 KFC stores throughout Australia, and its overseas expansion and acquisitions in Germany and the Netherlands. Our team have assisted Collins Food on financing structures and institutional placements to fund these acquisitions.

Heineken Inc

Advised on Heineken's acquisition of various beer and cider brands from Asahi.

IKEA

Advised on IKEA's acquisition of 6 Sunray Drive, Innaloo, encompassing Perth's only large format IKEA store for $163.75 million and on IKEA's sale of a significant site.

Wiz

Acting for Wiz in Google's US$32 billion acquisition of Wiz, a transaction that involved navigating complex global competition issues and securing merger control approvals across multiple jurisdictions, including Australia.

PENDING Flutter Entertainment

Advised Flutter Entertainment and Sportsbet in obtaining informal ACCC merger clearance and foreign investment approval for its USD$12 billion acquisition of Canadian-based The Stars Group. Clearance was secured in February 2020 without a public review - the first major global merger approval obtained - despite the ACCC's heightened focus on the wagering sector following the Tabcorp/Tatts merger. The transaction created the world's largest online betting and gaming operator, with operations spanning the UK, US and Australia.

PENDING Tatts Tabcorp

Successfully obtained merger authorisation from the Australian Competition Tribunal for Tabcorp’s $11 billion acquisition of Tatts.

Major National Retailer

Advised a major national retailer on a series of acquisitions over many years across the liquor, hardware, supermarket, retail and food services sectors, including significant transactions of a national food services company, and large-scale hotel acquisitions.

Digital Platforms (de-identified Doordash)

Advised digital platforms on their market entry and activities in Australia, including compliance with competition law, marketing collateral and liquor licensing obligations. Currently advising on consumer law investigations involving digital platforms.
