Overview

Bryn is a Perth-based corporate partner who advises ASX-listed and international resources companies — together with boards, issuers, lead managers, underwriters and strategic investors — on equity capital markets, public M&A and strategic corporate transactions, with a particular focus on the critical minerals and mining sectors.

His transactional experience spans takeovers and schemes, mergers, strategic investments and sell-downs, ASX listings (including dual listings and re-compliance listings), IPOs and secondary raisings. Bryn also advises listed companies on corporate advisory matters, with a focus on ASX market disclosure and governance.

A former Non-Executive Director and Chairman of ASX-listed companies, Bryn is known for his commercial, practical approach and his ability to coordinate complex, cross-border transactions where corporate, ECM, M&A and regulatory issues intersect.

  • Minerals 260: A$220 million capital raising and ASX re-compliance listing for the Bullabulling Gold Project acquisition.

  • Broken Hill Mines: ASX re-compliance listing and capital raisings for the acquisition of the Broken Hill Rasp and Pinnacles Mines.

  • Patriot Battery Metals: ASX dual listing and secondary capital raisings for the Shaakichiuwaanaan (formerly Corvette) Project, Quebec.

  • Northern Minerals: capital raisings and general corporate advice for the Browns Range Heavy Rare Earth Project.

  • Benz Mining: ASX/TSX-V listing and acquisition of the Glenburgh and Mt Egerton Projects from Spartan Resources.

  • Livent Corporation: proposed all-stock merger of equals with Allkem to form Arcadium Lithium, an A$15.7 billion global integrated lithium chemicals producer.

  • African Gold Limited: acquisition by Montage Gold Corp via scheme of arrangement.

  • Aurumin Limited: acquisition by Brightstar Resources Limited via scheme of arrangement.

  • Bastion Mining Pte. Ltd: off-market takeover of Xanadu Mines Limited, including a $17 million pre-bid placement and navigating Xanadu's 19.9% shareholder and joint venture partner, Zijin Mining Group Co.

  • Newmont Corporation: A$440 million sell-down of its 10.2% stake in Greatland Resources as part of Greatland's restructure and ASX listing, following the sale of Telfer and the Havieron interest to Greatland Gold.

  • New Century Resources: takeover by Sibanye-Stillwater; private placement with IGO Limited; accelerated non-renounceable entitlement offer; and proposed acquisition of the Goro Nickel Project from Vale in New Caledonia.
